1. BACKGROUND


Trust Reservations Limited is a private limited company, registered under number 03829637, whose registered office is Merchant House, 5 East St. Helen Street, Abingdon, Oxfordshire, England, OX14 5EG ("TRUST").


TRUST operates the website https://www.trustreservations.com, a website for hotel reservation services (the "Site").


TRUST requires all visitors to the Site to adhere to the following terms and conditions (the “Terms and Conditions”). By accessing this Site you (the “Customer”) indicate your acknowledgement and acceptance of the terms and conditions herein.


These Terms and Conditions – together with all updates and any applicable additional terms and all of TRUST’s policies including but not limited to privacy policy, cancellation and refund policy – collectively constitute a contract between you and Trust Reservations Limited. Your continued use of the Site constitutes your binding acceptance of these Terms and Conditions, as updated from time to time.

TRUST reserves the right, at its discretion, to change, modify, add, or remove portions of these Terms and Conditions at any time by posting the amended Terms and Conditions to the Site. Your continued use of the Trust Reservations Limited after the posting of changes constitutes your binding acceptance of such changes. 


2. DESCRIPTION OF THE SERVICES

TRUST offers reservation services for hotel rooms on its Site (the "Trust Services"). 


The Site allows the reservation of rooms in hotels (the “Hotels”). The available dates, price, options offered, payment conditions and conditions of sale applicable to the selected rate (cancellation conditions, check-in time, member rate conditions, etc.) of the offered Hotels will be indicated during the reservation process as described in Condition 3 below.

Each Hotel has its own special terms and conditions applicable to the selected rate also available on the Site (hereinafter, the "Special Conditions") which are brought to the attention of the Customer prior to any reservation on the Site. For example, matters such as check-in and check-out times, guarantee policy, cancellation period, Wi-Fi access, specific conditions applicable to children, and whether animals are permitted in the Hotel may be specified in the Special Conditions. The Special Conditions may also allow the reservation of complementary services, such as breakfast or the upgrade of accommodation.


3. PARTNER SERVICES


TRUST enters into partnership and distribution agreements with the websites of third parties ("Partners") in order to allow the Customer to search for, select and reserve rooms in the Hotels on the Partner’s website ("Partner Services").


The terms and conditions of sale applicable to Partner Services are available on the relevant Partner's website.


4. RESERVATION PROCESS


Reservations may be made by the Customer on the Site as follows:


(a) The Customer inputs search criteria for a destination and Hotel, views the results and selects a Hotel;


(b) The Customer views the Hotel’s available accommodation (type of room, length of stay, options offered (for example: breakfast, Wi-Fi access, etc.), the total price of the reservation including any applicable taxes or Special Conditions (cancellation policy, check-in time, etc.);


(c) the Customer views a summary of the reservation, including information on the length of stay, any applicable Special Conditions and the total price payable, inclusive of applicable taxes);


(d) the Customer enters his/her contact information; 


(e) the Customer completes the reservation by using his/her preferred payment method, either by a partial or total pre-payment of the price for the reservation prior to the stay, or by requesting that payment is made by a billback using an assigned code;


(f) the reservation is accepted by TRUST and the Hotel;


(g) an email confirming the reservation of the accommodation is sent to the Customer summarising the accommodation reserved, the price(s), the Special Conditions accepted by the Customer, the date of the reservation made and the address of the Hotel at which the Customer can submit any complaints.


Reservations are made as soon as the Customer clicks on the ["Confirm"] button on the Site.


5. RESERVATION OF ADDITIONAL HOTEL SERVICES


Reservations of additional services offered by the relevant Hotel may be made by the Customer through the website and mobile services of the relevant Partner.


The reservation is made directly between the Customer and the Partner, following the steps specified in the website of the Partner.


6. PRICE AND PAYMENT


The prices shown on the Site are per room for the number of people and date selected.


If the payment of the total price is made at the Hotel in a currency other than that confirmed on the reservation, the currency exchange costs are the responsibility of the Customer.


Unless otherwise stated on the Site, the options (for example, breakfast, half-board, full-board etc.) that are not offered as part of the reservation are not included in the price.


Prices take account of the VAT applicable on the day of the reservation and any change of the applicable VAT rate will be automatically reflected in the price indicated on the billing date.

Any modification or introduction of new taxes or applicable fees will automatically be reflected in the price indicated on the billing date.


The Customer may either (i) provide his/her payment information before the stay or (ii) request a billback service and the provision of a code, pursuant to which payment will be obtained by TRUST directly from the Customer’s employee or organisation or entity with which the Customer is affiliated.


If the Customer's fails to show up on the first day of his/her reservation ("no show"), the Customer's reservation will be cancelled . In such a case, the Hotel may put his or her rooms up for sale and if the reservation is non-cancellable / non-exchangeable / non-refundable, the Customer will not be entitled to any reimbursement or compensation. 


If the reservation is guaranteed by credit card or had been the subject of a bank pre-authorisation, the Hotel may charge the Customer the cost of the first night on the credit card that has been given as a guarantee for the reservation and any additional nights of the reservation will be cancelled free of charge, unless otherwise indicated in the Special Conditions.


An invoice will be sent in electronic format to the e-mail address communicated by the Customer at the time of his/her reservation; if the Customer wishes to receive an invoice in paper format, he/she must expressly request this from the Hotel concerned.


7. CANCELLATION OR MODIFICATION OF A RESERVATION


For each reservation, the Special Conditions specify the conditions for cancelling and/or modifying the reservation.


When the Special Conditions allow:


(a) the cancellation of the reservation of a Service can be made directly on the Site in the "Cancel” option; and


(b) modification of a reservation can be done directly with the Hotel, whose contact information is specified on the reservation confirmation e-mail.


Unless otherwise expressly stipulated in the Special Conditions, the Customer must leave the room of the Hotel before the time indicated by the Hotel. Otherwise, the Customer may be charged for an additional night.


8. OBLIGATIONS AND RESPONSIBILITY OF THE CUSTOMER


The Customer is solely responsible for his/her choice of accommodation on the Site and its suitability for his/her needs, and TRUST shall have no liability to the Customer in this regard.


The Customer assumes all responsibility for the use of the Site and waives all claims against TRUST, its officers, directors, employees, suppliers, and programmers that may arise from the use of the Site.


The Customer is also solely responsible for the information provided when creating his/her account and/or any reservation. TRUST is not liable for any erroneous or fraudulent information provided by a Customer. In addition, only the Customer is responsible for the use of his/her account and any reservation made, both on behalf of the Customer and on behalf of third parties, including minors. The Customer must immediately inform TRUST of any hacking or fraudulent use of their e-mail address.


The Customer agrees to use the Site and the Services offered therein in compliance with applicable law and regulations and these Terms and Conditions. In the event of a breach of the Customer's obligations under these Terms and Conditions, the Customer is liable for damages caused by him/her to TRUST or third parties. The Customer shall indemnify, defend, and hold harmless TRUST, its employees, directors, agents, and representatives against any claim, suit, action, or administrative proceeding brought against TRUST, its employees, directors, agents, and/or representatives (“claim”) to the extent such claim, arises out of, or is related to the Customer’s access or use of the Site, violation of this terms of use, or of any rights of another, including, without limitation, access or use of the Site by someone else. You also undertake to indemnify TRUST against any claim, suit, actions and proceedings brought against TRUST by any Partner Hotels. 


The Customer acknowledges that TRUST’s Site provides intermediary services in order to facilitate hotel services. TRUST shall not be or deemed to be responsible for any lack or deficiency of services provided by any Hotel of any person the Customer shall engage or hire or appoint pursuant to or resulting from, the material available on the Site.


The Customer will be liable for any damage caused by him/her and/or his/her guests within the Hotel and shall bear all costs arising from such damage.


TRUST or its licensors own all intellectual property rights in and to the Site. The Customer agree to abide by any and all copyright notices, information, or restrictions displayed on the Site.


9. TRUST’S OBLIGATIONS


TRUST undertakes to provide access to the Site and the in accordance with these Terms and Conditions, and to make every effort, within a reasonable time, to remedy any malfunction brought to its attention.


TRUST may, however, be forced to temporarily suspend the Site without notice, especially for technical reasons involving maintenance, without incurring any liability.


The Customer acknowledges and accepts that TRUST's liability does not extend to any inconvenience or damage arising from the use of the internet network.


The Site may redirect users to web links of other websites that are published and managed by third parties. TRUST disclaims any liability for the content of such websites and the services offered therein. In this respect, it is specifically noted that partners are responsible for the promotion of the offers published on their own websites. The decision to consult third-party websites is therefore the full and complete responsibility of the Customer.


TRUST serves as an intermediary between each of the Hotels and the Customer, which the Customer recognises and expressly accepts. The Customer acknowledges and agrees that in the event of litigation and/or a complaint relating to a stay at an Hotel or a reservation, the Customer shall exclusively contact the operating company of the Hotel concerned. Information concerning the Hotel is available (i) in the booking confirmation e-mail and (ii) on the Hotel's form on the Site.

10. FORCE MAJEURE


Neither of the Parties can be held liable to the other party in the event of the non-fulfilment of its obligations resulting from a force majeure event. It is expressly agreed that a force majeure event suspends the performance of the reciprocal obligations of the Parties and that each Party bears the burden of the costs arising therefrom. If a force majeure event lasts more than thirty (30) days after its occurrence, these Terms and Conditions may be terminated by any of the Parties without any of them being able to claim damages.

Privacy and Personal Data Protection


When a Customer uses the Site, TRUST processes personal data as described in the "Privacy Policy".


The information collected as part of the Customer’s reservation is intended for TRUST, its Partners, its service providers (in particular online payment service providers) and the Hotels for the purpose of executing reservations or taking pre-contractual measures. Once the guarantees provided for by the applicable regulations have been put in place, the Customer’s data may be transferred from Europe to countries that do not ensure, from the European Union's point of view, an equivalent level of data protection.


The Customer may at any time exercise his or her rights under the regulations on the protection of personal data. All the information required for this purpose is set out in the "Privacy Policy".

12. MISCELLANEOUS


The input of the required bank information and the acceptance of these Terms and Conditions and any applicable Special Terms and Conditions by electronic means constitute an electronic contract between the Parties which is proof between the Parties of the reservation of the service and the payment of the sums due upon the execution of the reservation.


The Terms and Conditions and any applicable Special Conditions constitute the entirety of the obligations of the Parties. No other condition communicated by the Customer may be incorporated herein.


In the event of a contradiction between any applicable Special Conditions and these Terms and Conditions, the Special Conditions will prevail. In the case of conflict between, on the one hand, the general terms and conditions, of whatever nature, of a Partner and these General Terms and Conditions, on the other, these Terms and Conditions will apply.


If one or more stipulations of these General Terms and Conditions are deemed to be invalid or declared as such under a law, regulation or following a decision adjudicated by a competent jurisdiction that has become final, any other stipulations shall remain in force to their full extent.


The Customer acknowledges and agrees that TRUST may assign the benefit of these Terms and Conditions and all of the rights and obligations attached thereto to any third party without the prior written consent of the Customer. The Customer may not assign these Terms and Conditions, nor the rights and obligations attached thereto to third parties without the prior written consent of TRUST.

13. RIGHTS OF THIRD PARTIES


A person who is not a party to these Terms and Conditions has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms and Conditions but this does not affect any right or remedy of a third party which exists or is available apart from that Act.

14. GOVERNING LAW AND JURISDICTION


These Terms and Conditions and any non-contractual obligations arising from or connected with it are governed by, and shall be construed in accordance with, English law. 


The courts of England shall have jurisdiction to hear and determine any suit, action or proceedings, and to settle any disputes, which may arise out of or in connection with these Terms and Conditions (respectively "Proceedings" and "Disputes") and, for such purposes, irrevocably submits to the jurisdiction of such courts. 


The Customer irrevocably waives any objection which it might now or hereafter have to the courts referred to above being nominated as the forum to hear and determine any Proceedings and to settle any Disputes and agrees not to claim that any such court is not a convenient or appropriate forum.
